Terms of service
Effective date: [INSERT DATE]
Overview
Welcome to Prime Directive Comics. Our online store offers comic books, weekly comic pulls when available, back issues, trading card game products, graded collectibles, and related merchandise. In these Terms, “Prime Directive Comics,” “we,” “us,” and “our” mean [EXACT LEGAL NAME OF SELLER], doing business as Prime Directive Comics, where applicable.
These Terms govern access to and use of our website, online store, content, tools, and related services (the “Services”), and purchases made directly from us through the store. Shopify provides the platform that powers our store.
By affirmatively accepting these Terms, including through a checkout acceptance mechanism where presented, you agree to them. Your use of the Services is subject to these Terms to the extent permitted by applicable law. Our Privacy Policy explains how personal information is handled; acceptance of these Terms does not replace any separate privacy consent required by law.
Our Privacy Policy, Refund Policy, and Shipping Policy form part of these Terms to the extent applicable. Specific product or program terms clearly disclosed and accepted before purchase govern that product or program if they conflict with general provisions here. Mandatory consumer rights always apply.
1 Eligibility and accounts
To place an order, you must be legally able to enter into a binding contract and authorized to use the selected payment method. A parent or legal guardian must place or authorize purchases for a minor and supervise the minor’s use of the Services as appropriate.
Provide accurate and current contact, billing, and shipping information. Keep account credentials secure and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize; nothing here makes you responsible for unauthorized transactions where applicable law protects you. Accounts may not be sold or transferred without our written consent.
2 Product descriptions and availability
The product listing identifies the item offered, including material details such as issue number, printing, cover or variant, edition, language, quantity, condition, and grading status where relevant. A single comic, card, pack, box, bundle, or case includes only what the listing expressly identifies.
Some listings use publisher, manufacturer, or other representative images. Unless a listing identifies photographs as showing the exact item, images may be illustrative. Screen settings may affect color. Representative images do not excuse supplying a different edition, materially different condition, or otherwise misdescribed product.
We may update listings, discontinue products, or set reasonable purchase limits. Changes to a listing do not retroactively change an accepted order. Inventory shown online may be subject to synchronization errors or supplier availability. If we cannot fulfill an order, we will notify you and provide the applicable refund. We will not substitute a different cover, printing, language, edition, or product without your agreement.
3 Comic and card condition
Raw comics and cards are not independently graded unless the listing says otherwise. Condition descriptions represent our good-faith assessment using the standard identified in the listing, if any. Grading involves judgment, and a raw item described as Near Mint is not a promise of a particular numerical grade from a grading company.
New merchandise can have manufacturing or distribution imperfections. Material known defects must be disclosed where relevant to the advertised condition. General statements about imperfections do not override a specific condition description or excuse undisclosed material damage.
For graded merchandise, the advertised grade is the grade assigned by the identified grading company. Labels, certification numbers, signature designations, and restoration or qualification notes form part of the description where stated. A signed item is not represented as independently authenticated unless expressly identified as such. We do not guarantee a future regrade, crossover grade, grading turnaround, resale value, or investment return.
Slabs, cases, packaging, and seals may affect collectible value. Material known damage must be disclosed when it affects the listing’s representations. Please contact us if an item’s identity, authenticity, certification, or condition appears inconsistent with its description; third-party grading does not eliminate our responsibility to address a materially misdescribed sale.
4 Sealed products and randomized contents
Booster packs, booster boxes, blind products, and other randomized merchandise contain the manufacturer’s assortment unless the listing expressly describes a different arrangement. We do not guarantee particular cards, characters, rarities, pull rates, or contents beyond the manufacturer’s applicable representations and our product description.
Opening a product may affect eligibility for a voluntary change-of-mind return under the Refund Policy. It does not waive remedies for counterfeit, defective, damaged, incorrect, or materially misdescribed merchandise where those remedies apply. Disappointment with a random assortment or a later change in market price does not by itself establish a product defect.
5 Orders and acceptance
Submitting an order is an offer to purchase. An automated order receipt acknowledges receipt and is not, by itself, acceptance. We accept an order when we send an express acceptance notice or dispatch the merchandise, whichever occurs first. For a partial shipment, acceptance applies to the items dispatched unless we expressly accept the remaining items separately. Payment capture alone does not guarantee allocation, and any payment for an order we decline will be promptly refunded.
We may decline or cancel an order for a reasonable business or legal reason, including unavailable stock, suspected fraud, payment failure, a material listing error, or a disclosed quantity limit. We will notify you using the contact information provided and refund amounts paid for canceled items, including applicable taxes and shipping charges attributable to those items. We will not charge an increased price without your consent.
Contact us promptly to request a cancellation or address correction. We may be unable to stop an order already being processed or shipped; the Refund Policy and applicable law will then govern. These Terms do not impose an undisclosed cancellation or restocking fee.
Purchases for lawful resale are not categorically prohibited, but disclosed quantity restrictions still apply. Resale does not make you an authorized dealer, representative, or licensee of Prime Directive Comics or any brand.
6 Preorders and special orders
A preorder is for merchandise not yet ready to ship. The listing or checkout must disclose the expected shipment timeframe, payment timing, and any applicable cancellation terms before purchase. A publisher’s release date is not necessarily the date your order will ship or arrive.
Publisher schedules, distributor allocations, cancellations, and manufacturing delays can affect availability. We accept preorders only when we have a reasonable basis to expect fulfillment within the stated timeframe. These uncertainties do not authorize us to retain payment indefinitely or remove your cancellation and refund rights.
If we cannot ship within the applicable promised period, we will provide the notices, revised shipment information, opportunity to consent to delay or cancel, and prompt refunds required by applicable law. Where no shipment timeframe is stated, applicable default shipment requirements apply. We will cancel and refund an unavailable item if it cannot be supplied or if required delay consent is not obtained.
An allocation reduction may require a partial or full cancellation. We will not replace the ordered item with a different product or convert a required refund into store credit without your agreement. A “special order” or “final sale” label does not override mandatory rights or excuse our failure to supply the agreed merchandise.
For mixed orders containing available and preorder items, any plan to hold available items for combined shipment and any additional split-shipping charge must be disclosed before purchase or separately agreed with you. We will not add an unapproved shipping charge.
7 Weekly pulls and subscriptions
Where offered, weekly pulls and subscriptions are subject to the program terms provided at enrollment. Those terms must identify the titles or product scope, pricing or pricing method, billing schedule, shipping schedule, order cutoff, and how to change or cancel participation.
Adding a title to a wish list, expressing interest, or creating an account does not authorize recurring charges. We will obtain express authorization before initiating automatic recurring billing and provide applicable cancellation instructions and required notices.
A disclosed final order cutoff may affect whether an individual issue already committed for you can be canceled, subject to the program agreement and applicable law. Ending a recurring program stops future charges as required by law; any separately authorized outstanding order must be handled under its disclosed terms. No minimum commitment, automatic renewal, or cancellation penalty is created solely by this section.
8 Prices payment and promotions
Prices are in U.S. dollars unless stated otherwise. Applicable taxes and disclosed shipping or other charges appear at checkout. International duties or import charges, if international shipping is offered, will be addressed in the Shipping Policy and checkout disclosures.
Prices may vary across our website, TCGplayer, and other sales channels. A later price change or market movement does not automatically create a right to a price adjustment. Promotions are subject to the eligibility, dates, and restrictions disclosed with them.
You authorize the payment disclosed at checkout and represent that you may use the chosen payment method. Any deposit, delayed capture, installment arrangement, or recurring billing schedule must be separately disclosed. We do not add fees or change an accepted price without authorization, except charges lawfully required and properly disclosed.
If a material price or listing error affects your order, we will explain the issue and, where appropriate, offer the corrected transaction for your approval or cancel and refund the affected items. This provision does not authorize deceptive pricing or avoidance of obligations imposed by law.
9 Shipping delivery and supplier fulfillment
Shipping destinations, handling periods, charges, and delivery options are described in our Shipping Policy and at checkout. Carrier transit estimates are estimates unless an express delivery guarantee is provided. Delays outside our control do not eliminate obligations imposed by applicable law, including applicable shipment-delay and refund requirements.
Some orders may ship directly from a supplier or fulfillment partner, including through Shopify Collective, and may arrive in separate packages. For purchases placed with Prime Directive Comics, we remain your point of contact for order problems. Supplier fulfillment does not require you to pursue the supplier instead of contacting us.
For consumer orders, risk of loss remains with us until delivery to you or a person or location you have authorized, except where a different rule is required by applicable law. A carrier scan may be considered in investigating delivery but does not automatically resolve a disputed-delivery claim.
Report missing, incorrect, or damaged shipments promptly and retain available packaging and photographs so we can investigate. We may request reasonable cooperation with a carrier claim, but cannot make a legally required remedy depend solely on carrier reimbursement or impose an unlawful reporting deadline. A required refund will not be replaced with store credit without your consent.
You are responsible for providing an accurate address. If an incorrect address or refused delivery causes additional costs, any reshipment or return costs will be handled under the disclosed Shipping Policy and applicable law. We will explain available options before charging for reshipment.
10 Returns refunds and order problems
Our Refund Policy explains voluntary return eligibility, time limits, item condition requirements, and the return process. Any product-specific final-sale restriction must be clearly disclosed before purchase.
Nothing in these Terms or the Refund Policy excludes mandatory remedies for failure to deliver, incorrect or materially misdescribed merchandise, defects, counterfeit goods, or other legally protected claims. We do not require a waiver of lawful payment-dispute or chargeback rights. Contacting us first often helps resolve a problem quickly but is not a condition that shortens statutory deadlines or removes those rights.
Refunds will be issued through the original payment method when possible, or another lawful method agreed with you, within applicable legal deadlines. A processor’s posting time may differ from the date we issue the refund.
11 Intellectual property
Our original website content, branding, and arrangement of materials belong to Prime Directive Comics or the applicable rights holders. Publisher names, character artwork, comic covers, card images, grading-company marks, and other third-party materials remain the property of their respective owners. Their appearance does not imply an affiliation or endorsement beyond any relationship expressly stated.
You may browse the store, make lawful purchases, and retain order records for your own use. You may not reproduce or commercially exploit our protected original content or use our branding to imply authorization without permission, except as allowed by law. These Terms do not restrict lawful resale of genuine goods or uses permitted by applicable intellectual-property law.
12 Optional tools and external services
The Services may include third-party tools or links, including links to TCGplayer and community platforms. External services have their own terms and privacy practices. Purchases completed on another marketplace are subject to that marketplace’s applicable transaction rules in addition to any seller terms that lawfully apply.
We do not control independent third-party websites and do not guarantee their availability or content. To the extent permitted by law, optional independent tools are provided as available without additional warranties from us. This provision does not disclaim our responsibilities for orders placed with us or our own representations and conduct.
13 Relationship with Shopify
Prime Directive Comics is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Prime Directive Comics. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Prime Directive Comics, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Prime Directive Comics.
14 Privacy
Our Privacy Policy explains the personal information we collect, how it is used and shared, and applicable choices and rights. Shopify also processes information in connection with hosting and operating the store. See Shopify’s privacy information at https://www.shopify.com/legal/privacy/app-users.
Information may be processed by service providers in other jurisdictions as described in the applicable privacy notices. These Terms do not independently authorize marketing messages or processing that requires separate consent.
15 Reviews and submitted content
You retain ownership of reviews, photographs, and other content you submit. For content you submit for public display, you grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, display, and make formatting changes reasonably needed to operate and promote the store. This license does not transfer ownership, permit changing a review’s meaning, or authorize disclosure of private customer-service correspondence. Any use of personal information remains subject to applicable privacy law and our Privacy Policy.
Submit only content you have the right to share, and disclose any material incentive or relationship when required. Do not post unlawful threats, another person’s private information, infringing material, deceptive reviews, or malicious code.
We may moderate content for lawful reasons, but we do not prohibit honest negative reviews or penalize customers for them. Nothing in these Terms prevents you from discussing your experience, contacting regulators, or exercising protected consumer rights.
16 Prohibited conduct and automated access
You may not use the Services for fraud, unlawful activity, payment abuse, harassment, intellectual-property infringement, unauthorized collection of personal information, malware distribution, or interference with store operations. Do not bypass security controls, purchase limits, access restrictions, or measures intended to prevent abusive activity.
Ordinary browsing, accessibility tools, permitted search-engine indexing, and authorized shopping integrations are allowed. Automated tools must follow applicable access restrictions and must not create excessive load, misrepresent their authority, evade bot controls, or place unauthorized orders. We may restrict or revoke automated access to protect the store and customers.
If you authorize a shopping agent to act for you, you remain responsible for actions within the authority you actually grant, subject to applicable law. An agent may not manufacture consent to terms, recurring billing, or additional charges on your behalf.
17 Suspension and termination
We may restrict access or suspend an account for a material breach, fraud, security concerns, or legal requirements. Where reasonably practicable and lawful, we will explain the restriction and provide an opportunity to resolve an error.
Suspension does not extinguish valid order obligations, refund rights, or other accrued rights. Undeliverable or canceled orders will be handled under these Terms and applicable law. Provisions concerning intellectual property, accrued payment obligations, submitted-content licenses, liability, disputes, and other matters intended to survive will continue as appropriate.
18 Warranties and collectible value
We are responsible for the express product descriptions and promises we make. Nothing here disclaims title to goods sold, excuses counterfeit or materially misdescribed goods, or eliminates a warranty or remedy that cannot lawfully be excluded.
TO THE EXTENT PERMITTED BY LAW, WE DO NOT WARRANT THAT THE WEBSITE OR OPTIONAL ONLINE TOOLS WILL BE UNINTERRUPTED OR ERROR-FREE. EXCEPT FOR OUR EXPRESS COMMITMENTS, APPLICABLE MANUFACTURER WARRANTIES, AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED AND EFFECTIVE UNDER APPLICABLE LAW.
Collectibles can increase or decrease in value. Historical prices, commentary, scarcity estimates, and condition opinions are not guarantees of future value, liquidity, or grading results. We do not promise investment returns.
19 Limits on liability
TO THE EXTENT PERMITTED BY LAW, PRIME DIRECTIVE COMICS AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSSES, INCLUDING SPECULATIVE RESALE PROFITS, ARISING FROM THE SERVICES OR A PURCHASE. FOR AN ORDINARY CONTRACT CLAIM RELATING TO A PURCHASE, OUR AGGREGATE LIABILITY IS LIMITED TO THE TOTAL AMOUNT YOU PAID FOR THE AFFECTED ORDER, INCLUDING APPLICABLE TAXES AND SHIPPING.
THESE LIMITS DO NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL INJURY OR PROPERTY DAMAGE TO THE EXTENT LIABILITY CANNOT LAWFULLY BE LIMITED, OR ANY OTHER NONWAIVABLE LIABILITY. THEY DO NOT REDUCE REFUNDS, WARRANTY REMEDIES, STATUTORY DAMAGES, OR OTHER REMEDIES THAT APPLICABLE LAW REQUIRES. IF A LIMITATION IS NOT LAWFUL IN YOUR JURISDICTION, IT APPLIES ONLY TO THE EXTENT PERMITTED.
20 Responsibility for third-party claims
To the extent permitted by law, you agree to reimburse us for reasonable losses and legal expenses arising from a third-party claim directly caused by your unlawful conduct, infringement through content you submit, or intentional material breach of these Terms. This obligation does not apply to ordinary shopping, honest reviews, good-faith disputes, or claims caused by our own conduct.
We will provide reasonable notice and an opportunity to participate in the defense. No settlement may impose an admission or nonmonetary obligation on you without your consent. This section does not override nonwaivable consumer protections.
21 Governing law and disputes
Subject to mandatory consumer protections, these Terms are governed by Tennessee law and applicable federal law, without applying conflict-of-law rules to deprive a consumer of mandatory protections available in their home jurisdiction.
Disputes may be brought in a court with lawful jurisdiction and venue. Nothing here requires arbitration, waives participation in a class action, waives a jury trial, or prevents an eligible small-claims action. We encourage you to contact us to seek a practical resolution, but doing so is not a prerequisite that limits a legal deadline or protected remedy.
22 General provisions
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision once is not a waiver of future enforcement.
These Terms, the incorporated policies, and applicable transaction-specific terms comprise the agreement concerning the Services, without excluding legally binding representations or mandatory rights. You may not transfer contractual obligations without our consent. We may transfer this agreement as part of a lawful business reorganization or sale, provided the transfer does not reduce your accrued rights and required notices are given.
Events beyond reasonable control may affect performance, but do not excuse applicable notice, cancellation, refund, or consumer-protection obligations. Headings are for convenience only.
23 Changes to these Terms
We may update these Terms prospectively by posting a revised version and effective date. We will provide additional notice or obtain consent when required. The version accepted for an order governs that order unless a lawful change is separately agreed. An update does not retroactively eliminate accrued rights or authorize new recurring charges.
